Proposed Bylaws for the Tidewater Dirt Riders

1. Roberts Rules of Order shall govern the parliamentary proceedings of this association, unless otherwise provided in these by-laws. The order of business shall be:

a. Reading of minutes of the previous meeting.
b. Report of officers and committees.
c. Unfinished business.
d. New business.

2. Committes shall be appointed by the President at such time as the need for a committee arises. An Executive Board member shall serve as chairman of committees.

3. The association dues shall be $50.00 annually per family membership, plus a $25.00 maintenance fee. The maintenance fee will be refunded or applied towards a consecutive membership if member participates in three (3) maintenance days and on (1) club promoted race. Fees are due on April 1 of each year. If dues are not paid within sixth (60) days of th edue date, that family membership will be terminated. Only one person per family membership shall vote on batters of business brought before the association. (Family members may express their views in regards to matters of business).

4. An audit of all financial transactions and books shall be made annually. The auditing committee shall consist of the Executive Board. A special audit may be made at any time the Executive Board deems it necessary.

5. Application packages for membership will be available after every club meeting. Completed applications & dues will be accepted the first Sunday of each month after attending an orientation meeting at the club's property.

6. Only active members shall be eligible to hold office in the association.

7. A member may be expelled for conduct unbecoming a member of the association, but charges must first be made in writing and the accused member given a hearing before the executive Board. The Executive Board shall take evidence and report its findings to the association with the recommendation that the charges be considered as proven and the accused member be expelled, or the charges be considered not proven and the accused member remain a member of the association. The association shall thereupon take a vote to decide whether or not the recommendation of the Executive Board shall be adopted. It shall require a majority vote of the active members present and entitled to vote, to veto the recommendation of the Executive Board.

CONSTITUTION

This association shall be known as the Tidewater Dirt Riders Association.

Article I

The purpose of this association shall be:

a. To promote the sport of motorcycling placing emphasis upon safety and promoting sportsmanship among the members,
b. To promote events and activities to include the entire family with the intent of maintaining strong family relationships,
c. To obtain and maintain territories for the member to ride.

Article II

Active members shall be riders of motorcycles, persons actively connected with the trade, or motorcycle enthusiasts. Lifetime members shall be any other person as the association may decide by a majority vote of those present at any regular meeting so to honor. Only active members shall be entitiled to a vote in the association affiars or to win any prizes in association activities

Article III

The officers of the association shall be a President, Vice President, Secretary, Treasurer, Trail Master and one Executive member (shall be the past president if they are willing or appointed by the Executive Board). The entire Executive Board will consist of all officers.

Article IV

The duties of the President shall be:
a. To preside at all meetings of the association,
b. To have general supervision of the affairs of the association,
c. To appoint any person or committees as may be required,
d. To assist all other officers of the association in their records, correspondence and other duties,
e. To vote only when one vote is necessary to break a tie.

Article V

The duties of the Vice President shall be:
a. To perform the duties of the President in his absence and assist in promoting Association activities and publicity thereof.
b. To supervise and organize land management committees.

Article VI

The duties of the Secretary shall be:
a. To keep a record of the meetings of the association in the minute book provided for that purpose,
b. To insure that all members are notified of regular or special meetings, and / or activate a telephone list.
c. To handle all association correspondence,
d. To maintain all memberships.

Article VII

The duties of the Treasurer shall be:
a. To collect dues from all the members,
b. To collect all other money due the association,
c. To disburse funds as authorized by the Executive Board,
d. To perform such other duties as generally fall to that office.

 Article VIII

The duties of the Trail Maste shall be:
a. To make sure trails are done for race day,
b. To assist any officer as needed.

Article IX

The duties of the Executive Board shall be:
a. To oversee the operation of the association,
b. To audit the financial records and books,
c. To serve as chairman of committees as may be required by the President

Article X

All elective officers shall be filled at an annual election to be held on the first meeting in December of each year, and all officers shallhold their office for one year effective the first meeting of January until their successors are eleced and qualified. Voting of officers is to be conducted by secret ballot. Election is to be proctored by the Executive member. At an election, the Secretary prior to the call to vote will conduct a roll call of paid members. The Secretary will hold record of the vote for the elected year.

 Article XI

The regular meetings of the association shall be held as decided by the Executive Board, but the President or Executive Board may call a special meeting at any time. Vacancies in offices (except President) will be filled by Executive Board appointments.

Article XII

Fifty-one percent of the active members in good standing at any meeting shall constitute a majority for the transaction of association business.

Article XIII

This constitution may be amended or added to, the proposed amendment being submitted in writing at a regular meeting. It may not be voted on until the next meeting. A majority vote of all active members in good standing present shall be required to pass an amendment.
